    TERMS & CONDITIONS

    Last updated: 14 September 2026

These Terms and Conditions apply to Dr Tiv Academy Pty Ltd (ABN: 98 688 083 963) (Company, we, us or our), registered in Australia and operating from 19 Balnarring Road, Balnarring, Victoria 3926, Australia.

We operate the website https://www.drtiv.com/ and any related websites, landing pages, course portals, learning management systems, online communities, email lists, payment pages, events, workshops, memberships, digital resources, merchandise and other products or services (together, the Services).

    Contact: powerup@drtiv.com | +61 3 9118 3610 | 19 Balnarring Road, Balnarring, Victoria 3926, Australia.

    1. Agreement to These Terms

By accessing, browsing, purchasing from, enrolling in, attending, downloading from or otherwise using the Services, you confirm that you have read, understood and agree to be bound by these Terms, our Refund Policy, our Privacy Policy and any additional terms presented to you at checkout, enrolment, attendance or access.

If you do not agree, you must not use the Services. If you purchase or enrol on behalf of another person or business, you warrant that you have authority to bind that person or business and that each participant will comply with these Terms.

We may update these Terms from time to time. The version that applies to a purchase is the version accepted at the time of purchase, subject to any changes that are reasonably required for legal, security, operational or program delivery reasons and that do not materially reduce your rights or purchased benefits, except as permitted by law.

    2. Eligibility

    • You must be at least 18 years old.
    • You must provide accurate, current and complete information.
    • You must not enrol or access the Services for the purpose of copying, benchmarking, reverse engineering, reproducing, competing with or misusing our content, business model, teaching methods or intellectual property.
    • We may refuse enrolment, cancel access or remove a participant where we reasonably believe there is a legal, safety, conduct, confidentiality, IP, payment, conflict of interest, competitor, reputational or program integrity risk.
    • Participants affiliated with practices within a 15 km radius of Balnarring Dental Centre may be declined or subject to additional written approval, where we reasonably consider this necessary to manage conflicts, confidential information, local competition or practice protection.

    3. Nature of the Services

Dr Tiv Academy provides continuing professional development, education, workshops, online education, resources, merchandise, templates and training programs for dental, medical, health and business professionals. Content is educational only and does not constitute clinical, financial, tax, accounting, legal, employment, investment, personal, psychological or professional advice.

You remain solely responsible for your own clinical judgement, professional obligations, patient communication, informed consent, record keeping, diagnosis, treatment planning, treatment delivery, financial decisions, employment decisions, business decisions and compliance with applicable laws, regulations, codes and professional standards.

Where examples, scripts, clinical discussions, financial models, practice systems, templates or case studies are provided, they must be adapted to your own circumstances and reviewed by appropriately qualified advisers where required.

    4. Purchases and Payment

    • We may accept payment by Visa, Mastercard, American Express, PayPal, Stripe, bank transfer, third-party financing or other methods we make available.
    • All prices are in Australian dollars unless stated otherwise and are inclusive or exclusive of GST as stated at checkout or on the relevant invoice.
    • You must provide accurate billing, contact, business and payment information and keep it up to date.
    • You authorise us, our payment processors and finance providers to charge all applicable fees, instalments, subscriptions, payment plan amounts, late fees, merchant fees and other amounts payable under your purchase or enrolment agreement.
    • If a payment fails, we may suspend access, pause delivery, withhold certificates, refuse attendance, cancel bonuses, recover overdue amounts and recover reasonable collection costs, subject to applicable law.
    • We may correct genuine pricing, typographical, invoice or system errors. Where correction materially affects you, we will provide any remedy required by law.

    5. Payment Plans, Financing and Third-Party Providers

Payment plans, interest-free arrangements, financing, credit or instalment services may be provided by us or by third parties. If a third-party provider is used, their terms may also apply.

Unless a refund is approved under our Refund Policy or required by law, your payment obligations continue even if you stop attending, stop using the Services, change your mind, experience business or personal circumstances, fail to complete the program, lose access due to breach or no longer wish to receive the Services.

Interest, financing costs, administration charges, payment processing fees, merchant fees, card fees, bank fees, third-party provider charges, compliance costs and similar costs may be non-refundable to the maximum extent permitted by law.

    6. Subscriptions and Automatic Renewal

Some Services are sold as a subscription with recurring payments. Where you purchase a subscription, the following applies.

Automatic renewal. Your subscription renews automatically at the end of each billing period, and your nominated payment method is charged the then-current fee, until you cancel. The billing period (for example monthly or annual) and the fee are shown at checkout and in your account. By subscribing, you authorise those recurring charges.

How to cancel. You may cancel at any time from the billing portal linked in your account, or by contacting us at powerup@drtiv.com. Cancellation takes effect at the end of the billing period you have already paid for. There is no cancellation fee and no minimum term unless one is expressly stated in the offer you accepted.

Access after cancellation. You keep access to the subscription Services until the end of the paid period. We do not provide partial refunds for the unused remainder of a billing period you have cancelled part-way through, except where the Australian Consumer Law or another law requires it. Benefits tied to an active subscription — including any recurring Points allocation, member pricing or community access — stop when the subscription ends.

Price changes. We may change subscription fees. We will give you at least 30 days' notice before a changed fee applies to you, sent to the email address on your account. The new fee applies from your next billing period after the notice period ends. If you do not accept the change, you may cancel before that date.

Failed payments. If a renewal payment fails, we may retry the payment, and we may suspend or downgrade access to the subscription Services until payment succeeds. We will let you know before access is suspended. If payment remains outstanding, we may cancel the subscription.

Cancelling a subscription does not cancel any separate purchase, payment plan, enrolment or finance arrangement, and does not extinguish amounts already payable under those arrangements.

    7. PowerUp Points and Mastery Tokens

Some Services use an in-platform rewards currency called PowerUp Points (Points) and, separately, Mastery Tokens. Points may be earned through activity on the platform, or purchased in packages where we offer them for sale.

Points are not money. Points have no cash value, are not legal tender, are not a financial product, do not earn interest, cannot be exchanged for cash, and cannot be sold, transferred, gifted or assigned to another person or account. They may be redeemed only for the items we make available for Points from time to time.

    Expiry. Points expire as follows:

    • Earned Points — Points awarded for activity rather than purchased expire 3 years after they are awarded. Points earned before the date this clause took effect expire 3 years after that date, not retroactively.
    • Purchased Points — Points bought in a package remain redeemable for at least 3 years from the date of purchase.

Your current balance and the date your next Points expire are shown in your account. When you spend Points, earned Points are used before purchased Points. We will not shorten the expiry period applying to Points you already hold.

Earning rates and redemption values may change. The number of Points awarded for an activity, the cost of redeeming an item, daily earning limits and the range of items available for Points are set by us and may be varied, suspended or withdrawn at any time. Changes apply from the date they take effect and do not reduce the number of Points already credited to your balance.

Limits and adjustments. Points are intended to reward genuine use of the Services by the account holder. We may apply daily earning limits, per-award limits and rate limits, and we may withhold, reverse, adjust or cancel Points, and suspend Points earning on an account, where Points have been awarded in error or as a result of a system fault, or where we reasonably consider the account has been used to obtain Points other than through genuine individual use — including automated or scripted activity, coordinated activity between accounts, duplicate or fake accounts, or circumventing a limit. Where we reverse Points, the adjustment appears in your Points history.

Closure and termination. Unused Points are forfeited if your account is closed by you, or is suspended or terminated by us under these Terms. Points are not refundable, and are not transferable on death or on transfer of a practice or business, except where the law requires otherwise.

Mastery Tokens are a separate rewards currency and the same principles apply to them, except that Mastery Tokens do not expire.

Nothing in this clause excludes, restricts or modifies any right or remedy you have under the Australian Consumer Law or other applicable law, including in relation to prepaid arrangements.

    8. Australian Consumer Law

Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy that cannot lawfully be excluded, restricted or modified under the Australian Consumer Law or any other applicable law.

Where the Australian Consumer Law applies, you may be entitled to remedies if services are not supplied with due care and skill, are not reasonably fit for a disclosed purpose, are not supplied within a reasonable time where no time is fixed, or otherwise fail to comply with applicable consumer guarantees. For major failures, you may be entitled to cancel and obtain a refund for the unused portion or other remedies. For minor failures, we may be entitled to remedy the failure within a reasonable time.

Any limitation, exclusion, non-refundable cost, suspension, termination, indemnity, account liability or liquidated damages clause in these Terms applies only to the maximum extent permitted by law.

    9. Program Delivery

    • Programs may be delivered in person, online, by recording, by live stream, by hybrid delivery, through a learning platform, through downloadable materials or by another reasonable delivery method.
    • We may vary venue, presenters, order of content, session format, session times, delivery method, dates, modules, support method, bonuses or materials where reasonably necessary, provided we use reasonable endeavours to preserve the overall value and purpose of the program.
    • We are not responsible for your travel, accommodation, time away from work, lost income, practice interruptions or related costs unless required by law or expressly agreed in writing.
    • You are responsible for having suitable internet, devices, software, speakers, microphones, email access, security settings and other technology required to access online components.
    • Certificates, CPD records or completion acknowledgements may be withheld where payment is overdue, attendance requirements are not met, assessments are incomplete, conduct requirements are breached or information supplied is inaccurate.

    10. Merchandise and Physical Goods

Where we sell physical goods, including merchandise, workbooks, printed materials and equipment, the following applies.

    • Delivery methods, costs and estimated timeframes are as stated at checkout or as agreed. Some items are collected at an event rather than posted.
    • Delivery estimates are estimates only. Where no timeframe is stated, we will supply within a reasonable time.
    • Title to goods passes to you on full payment. Risk of loss or damage passes to you on delivery to you, or on collection by you or your nominee.
    • You must provide an accurate delivery address. We are not responsible for goods delivered to an incorrect address you supplied, and re-delivery costs may be payable.
    • You should inspect goods on receipt and notify us promptly of any damage, shortfall or incorrect item so we can provide the remedy required by law.
    • Sizes, colours, finishes and packaging may vary slightly from images shown.

Nothing in this clause limits your rights under the consumer guarantees in the Australian Consumer Law, including in relation to goods that are faulty, not as described or not of acceptable quality.

    11. Availability of the Services

We aim to keep the online Services available, but we do not guarantee uninterrupted or error-free access. Access may be unavailable or reduced during maintenance, updates, upgrades, security work, or because of failures in systems and services we do not control, including hosting, authentication, payment, video streaming, email and internet infrastructure.

We may add, change, suspend or withdraw features, content, modules, community sections and other parts of the Services. Where a change materially reduces something you have paid for, we will use reasonable endeavours to provide a comparable replacement or another remedy required by law.

Events beyond reasonable control. We are not liable for failure or delay in performing our obligations caused by an event beyond our reasonable control, including natural disaster, fire, flood, extreme weather, epidemic or pandemic, public health direction, government action, war, civil unrest, terrorism, strike, power or telecommunications failure, failure of a third-party platform or supplier, or venue closure. If such an event prevents an event or program proceeding, we will use reasonable endeavours to reschedule it, move it online, or provide a credit or refund appropriate to the circumstances and required by law.

    12. Event Conduct and Removal

You must behave professionally, respectfully and lawfully at all times. We may refuse entry, remove you from an event, suspend or terminate access, remove you from online communities or refuse future enrolment if you engage in disruptive, unsafe, abusive, threatening, harassing, discriminatory, dishonest, intoxicated, unlawful, commercially exploitative or otherwise inappropriate behaviour.

No refund will be provided for removal or termination caused by your breach, misconduct, non-payment or misuse of Services, except where required by law.

    13. Accounts, Passwords and Access Security

    • Your account, login, links and download access are personal to you and must not be shared, transferred, sold, sublicensed, assigned or made available to another person.
    • You are responsible for all activity through your account, devices, email, links and credentials unless you can show that unauthorised activity occurred without your knowledge, involvement, permission or negligence.
    • You must immediately notify us if you suspect that your login, links, downloaded materials, device or account have been compromised.
    • We may require identity verification, reset passwords, disable links, watermark materials, revoke downloads, suspend accounts or restrict access where reasonably necessary for security, compliance, payment, IP protection or program integrity.

    14. Community and Member Forums

Some Services include member communities, forums, discussion sections, comments, questions and answers (the Community). The Community is a private, members-only space provided for professional discussion between participants.

Acceptable use. When posting, commenting, voting or otherwise participating, you must not:

    • post information that identifies, or could reasonably identify, a patient, client, staff member or other individual without the consents and authorisations required by law and your professional obligations — clinical material must be de-identified before posting
    • post anything unlawful, defamatory, misleading, harassing, abusive, threatening, discriminatory, obscene or in breach of another person's privacy or intellectual property rights
    • post content that breaches advertising, professional or registration requirements applying to your profession, including restrictions on testimonials and claims about regulated health services
    • advertise, solicit, recruit, promote a competing program, market products or services, or send unsolicited commercial messages to other members
    • copy, republish, screenshot, export or distribute another member's posts, or any Content or Confidential Information, outside the Community
    • post on behalf of another person, operate more than one account, or misrepresent your identity, profession or qualifications

Your posts are your responsibility. Community content is contributed by members. It is not our advice, it is not verified or endorsed by us, and it is not a substitute for your own professional judgement or advice from a qualified adviser. You rely on other members' contributions at your own risk.

Reporting and moderation. You can report a post or comment using the report function, and we encourage you to do so rather than responding to it. We may remove, edit, lock, archive, hide or restore any post or comment, restrict posting, or remove a member from the Community, where we reasonably consider it breaches these Terms or is otherwise inappropriate. We may do this without prior notice where the content is unlawful, unsafe, identifies a patient, or poses a risk to another person — otherwise we will tell you what was actioned and why, and you may ask us to review the decision.

Retention. Posts and comments remain visible in the Community while your account remains open. Where a post is removed by us or retracted by you, it is retained for 30 days and then permanently deleted, unless we are required to keep it longer for legal, safety, dispute or investigation reasons. We are not a record-keeping service — keep your own copy of anything you need.

Points for participation. Where Points are awarded for posting, answering or having an answer accepted, they are awarded for genuine contribution. Minimum quality thresholds, daily caps and limits on repeat awards between the same members apply. Posting low-value content to collect Points, arranging with another member to accept each other's answers, or otherwise coordinating to generate Points is a breach of these Terms, and Points obtained that way may be reversed under clause 7.

    15. Referrals and Recruitment Invitations

Some Services let you invite another person — for example to join the platform through a referral link, or to complete an assessment as a candidate for a role at your practice.

Consent to contact. Where you provide us with another person's name, email address or phone number so that an invitation or assessment link can be sent to them, you warrant that you have that person's consent to give us their details and to have them contacted for that purpose, and that the contact is consistent with the Spam Act 2003 (Cth) and other applicable laws. You must not submit details harvested from lists, purchased from a third party, or taken from a person who has asked not to be contacted.

You must not post referral links to public forums, comment sections, social media spam, paid traffic or any channel where recipients have not asked to hear from you, and you must not offer unauthorised inducements to sign up.

Integrity of referral rewards. Referral rewards are for introducing genuine new participants. We may withhold, reverse or cancel referral rewards, pause referral earning on an account, and decline to credit referrals, where we reasonably consider referrals are not genuine — including self-referrals, duplicate or fake accounts, accounts created on your behalf, an unusual volume of signups in a short period, or signups that do not reflect a real introduction. Sending a recruitment assessment may cost Points, as shown before you send it; those Points are not returned if the candidate does not respond.

We will let the person you invite know who invited them, and they may decline. We handle their information in accordance with our Privacy Policy.

    16. Assessments and Profiling Tools

The Services include self-assessment and profiling tools, including the 4ID assessment, partner and team assessments, recruitment assessments, quizzes and core value exercises. Responses are scored automatically and results are stored in your account.

What these tools are not. These tools are educational and developmental. They are not clinical, diagnostic, psychological or psychometric instruments, they are not validated for selection or employment purposes, and they do not measure competence, honesty, fitness for a role or suitability for registration. No result should be treated as a professional assessment of any person.

Use in hiring and people decisions. If you use a recruitment or team assessment in connection with recruitment, promotion, role allocation, performance management or any other decision affecting a person, you do so entirely at your own risk and on your own judgement. You must not use a result as the sole or primary basis for such a decision. You remain solely responsible for complying with employment, anti-discrimination, privacy, workplace and professional laws, for telling the person how the result will be used, and for obtaining any consent required. We give no assurance that any result is accurate, predictive or appropriate for that use, and we are not responsible for decisions you make using it.

Candidate results. Where you invite a candidate to complete an assessment, the candidate's result is made available to you as the inviting account holder. You must treat it as confidential, use it only for the purpose it was collected, and handle it in accordance with your own privacy obligations.

    17. Prohibited Activities

    You must not:

    • use the Services unlawfully, dishonestly or for a purpose inconsistent with these Terms
    • copy, reproduce, scrape, data mine, crawl, download in bulk, record, screenshot, transcript, summarise for commercial use, reverse engineer, clone, adapt, publish, distribute, sell, license, upload or exploit any part of the Services or Content without our prior written consent
    • use automated systems, bots, AI agents, browser extensions, screen capture tools, password sharing tools or other technology to extract, copy, monitor, bypass controls or replicate Content
    • remove, alter, obscure, bypass or interfere with any watermark, metadata, user identifier, copyright notice, trade mark notice, tracking tag, access control, DRM or security feature
    • share or upload Content into an AI system, language model, chatbot, dataset, training corpus, search index, prompt library, automation system or external tool for the purpose of cloning, rewriting, generating, training, summarising, reproducing or commercialising our Content
    • use our Content to create, improve, run, sell or promote a competing course, workshop, webinar, coaching program, consultancy, membership, practice training product, staff training product, social media series, template library, prompt library or educational product
    • misrepresent your identity, professional status, business affiliation, enrolment purpose, payment authority or relationship with us
    • interfere with the security, availability, functionality or integrity of the Services
    • upload harmful code, malware, spam, unlawful content, confidential third-party information or identifiable patient information without proper authority and consent
    • harass, threaten, defame, abuse, exploit, bully or harm us, our team, presenters, suppliers, supporters, participants or other users
    • use the Services in a way that damages our reputation, brand, goodwill, relationships, commercial interests or intellectual property rights

    18. User Contributions and Clinical Case Material

If you submit questions, comments, survey responses, case examples, assignments, recordings, testimonials, feedback, photos, videos, chat messages, documents, clinical examples or other material (Contributions), you warrant that you have all rights, permissions and consents needed to provide them.

You must not provide identifiable patient information unless you have obtained all required patient consents, professional permissions and legal authorisations, and unless disclosure is necessary and appropriate. Where possible, clinical examples must be de-identified before submission.

You grant us a worldwide, royalty-free, non-exclusive licence to use, reproduce, adapt, edit, store, analyse and display Contributions for program delivery, support, assessment, quality improvement, security, legal compliance and administration. Where we want to use identifiable testimonials, photos, videos or participant stories for public marketing, we will seek consent unless consent is already clearly given through event registration, media release, written approval or another lawful basis.

You agree that feedback, suggestions, ideas, requests, improvements or concepts you provide to us may be used by us without compensation, provided we do not claim ownership of your pre-existing intellectual property.

    19. Photos, Videos and Event Recordings

We may photograph, film, record, livestream or otherwise capture events, workshops, online sessions and program activities for education, internal training, quality improvement, marketing, social media, promotional, archival and program delivery purposes.

By attending or participating, you consent to being captured incidentally or directly in those materials, unless you notify us in writing before the relevant event or session that you do not consent. We will make reasonable efforts to accommodate opt-out requests, but this may not be possible for incidental crowd footage or where recording is required for program delivery.

You must not record, livestream, photograph, screenshot or publish any session, participant, presenter, slide, workbook, screen, discussion or event content without our prior written consent and any required third-party consent.

    20. Leaderboards and Member Visibility

Parts of the Services are social by design. Where you take part in a feature that ranks or displays member activity — including referral leaderboards, celebration leaderboards, streaks, badges and Community participation — the following may be shown to other signed-in members alongside your activity count or rank: an abbreviated form of your name (first name and last initial, for example "Jane S."), your practice role, and your home state or region and country.

Leaderboards are visible to other members of the platform. They are not published publicly on the open internet and are not shown to search engines. We do not display your full name, email address, phone number, street address, purchase history, practice financial information or assessment results on a leaderboard.

If you would prefer not to appear, you can turn off leaderboard visibility at any time in your account settings, or contact us at powerup@drtiv.com and we will do it for you. Opting out removes you from the leaderboards entirely, including from your own view of them. It does not affect the Points, referral credit, celebrations, streaks or badges you earn — those are still recorded and still count, they are simply no longer displayed.

    21. Third-Party Websites, Suppliers and Supporters

The Services may include links, integrations, references, offers, discounts, affiliate arrangements, supplier relationships, venue arrangements, product demonstrations, supporter involvement, sponsored components, guest presenters, payment processors, learning platforms, email platforms, CRM systems, analytics tools, AI tools, community platforms or other third-party services.

We are not responsible for third-party products, services, websites, content, advice, opinions, privacy practices, security or availability. You use third-party services at your own risk and subject to their terms.

    22. Privacy

We collect, use, store and disclose personal information in accordance with our Privacy Policy. By using the Services, you consent to our handling of your personal information as described in that policy, including disclosure to suppliers, supporters, presenters, coaches, payment providers, IT providers, professional advisers and other people reasonably involved in delivering or supporting the Services.

    23. Suspension and Termination

We may suspend, restrict or terminate your access immediately if we reasonably believe you have breached these Terms, failed to pay amounts owing, misused Content, shared access, created a security risk, provided false information, engaged in misconduct, created a legal risk or otherwise acted in a way that may damage the Services, our participants, our rights or our business.

Termination does not affect accrued rights, payment obligations, confidentiality obligations, intellectual property obligations, indemnities, limitations of liability, dispute resolution terms or any provisions intended to survive termination.

    24. Account Closure and Deletion

You may close your account at any time from your account settings. Two options are available.

Deactivation. Deactivating signs you out and disables sign-in, but preserves your data and progress. You can ask us to reactivate the account later.

Deletion. Deleting is permanent and cannot be undone. When you delete your account we remove your profile, learning progress, bookmarks, Points balance and Points history, badges, certificates and CPD records held in the platform, assessment results, wins, reward redemptions and referral records, and we delete your sign-in credentials so the account cannot be accessed again. Before deleting, download or save anything you need — including certificates and CPD evidence, which we cannot reissue once they are gone.

Points and paid access are forfeited. Deleting your account forfeits any remaining Points balance, including purchased Points, and ends access to any program, module, library item or subscription content you have paid for. No refund is payable on deletion, except where the Australian Consumer Law or another law requires it. If you want a refund, make that request under our Refund Policy before deleting.

Deletion does not end your payment obligations. Closing or deleting your account does not by itself cancel a subscription, payment plan, finance arrangement or enrolment, and does not extinguish amounts already owing. Cancel any active subscription first, under clause 6. If you have a payment plan or finance arrangement, contact us — deleting the account does not stop those payments.

What we keep. We retain records we are required or permitted by law to keep, including transaction, invoice, tax and accounting records, records needed for insurance, dispute resolution, chargebacks, fraud prevention or legal claims, and security and audit logs. These are retained under our Privacy Policy and are kept only for as long as necessary. Content you posted in the Community may remain visible, shown as posted by a removed member, where removing it would break the readability of a discussion others took part in; you may ask us to remove specific posts before you delete your account.

We may also close an inactive or abandoned account after giving you reasonable notice to the email address on your account.

    25. Disclaimers

To the maximum extent permitted by law, the Services are provided on an as-is and as-available basis. We do not guarantee that the Services will be uninterrupted, error-free, secure, current, suitable for your specific needs, compatible with all systems or capable of producing any particular clinical, financial, business, personal, practice, patient, career or income result.

Testimonials, examples, revenue figures, production improvements, case studies and participant outcomes are illustrative only. Your results depend on many factors outside our control, including your skills, effort, implementation, practice systems, patient base, market, team, ethics, compliance, professional judgement and business conditions.

    26. Limitation of Liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, exemplary or punitive loss, loss of profit, loss of revenue, loss of income, loss of business opportunity, loss of goodwill, loss of clients, loss of data, lost production, reputational loss, practice interruption, travel or accommodation costs, or claims by third parties arising from or connected with the Services.

To the maximum extent permitted by law, our aggregate liability arising out of or connected with the Services is limited to the amount paid by you for the relevant Service giving rise to the claim in the 12 months before the claim arose.

Where permitted by law, liability for services is limited to re-supply of the services or payment of the cost of re-supply.

    27. Indemnity

You indemnify us, our directors, officers, employees, contractors, presenters, agents, suppliers and related entities against losses, claims, liabilities, damages, costs and expenses, including reasonable legal and enforcement costs, arising from or connected with:

    • your breach of these Terms
    • your misuse, copying, disclosure, upload, distribution or exploitation of Content
    • activity through your account, login, links, downloads, devices or credentials
    • your unlawful, negligent, misleading, professional or clinical conduct
    • your Contributions or any patient, client, staff, business or third-party information you provide
    • your infringement of intellectual property, confidentiality, privacy, publicity, consumer, employment or other rights
    • chargebacks, payment disputes, unpaid amounts, collection costs or enforcement action caused by your conduct

This indemnity applies only to the maximum extent permitted by law and does not require you to indemnify us for our own fraud, wilful misconduct or liability that cannot lawfully be excluded.

    28. Dispute Resolution

Before commencing proceedings, the parties must use reasonable endeavours to resolve disputes informally by written notice, good faith negotiation and, if appropriate, mediation in Victoria, Australia. This does not prevent either party from seeking urgent injunctive, equitable or interlocutory relief to protect intellectual property, confidential information, privacy, payment rights, safety or reputation.

    29. Governing Law and Jurisdiction

These Terms are governed by the laws of Victoria, Australia. Subject to the dispute resolution clause and any non-excludable law, the courts of Victoria and the Commonwealth courts of Australia have exclusive jurisdiction.

Despite the above, we may seek urgent injunctive, equitable, takedown, preservation, discovery, enforcement or similar relief in any jurisdiction where Content is copied, hosted, disclosed, distributed, accessed, sold, used or threatened to be used.

    30. Miscellaneous

    • These Terms, the Refund Policy, the Privacy Policy and any purchase-specific terms form the entire agreement between you and us for the relevant Services.
    • If any provision is invalid or unenforceable, it will be read down or severed to the minimum extent required, and the remaining provisions continue.
    • Our failure to enforce a right is not a waiver.
    • You must not assign or transfer your rights without our prior written consent. We may assign or transfer our rights as part of a restructure, sale, merger or business transfer, provided this does not materially reduce your rights.
    • Electronic communications, signatures, clickwrap acceptance, checkout acknowledgements, email confirmations and digital records are valid and may be relied on as evidence of acceptance and communication.

Intellectual Property, Confidentiality and Content Protection

    1. Intellectual Property Rights

We own or license all intellectual property rights in the Services and Content, including all copyright, trade marks, business names, domain names, course names, frameworks, models, methods, diagrams, scripts, prompts, templates, checklists, tools, spreadsheets, calculators, manuals, workbooks, slides, videos, recordings, audio, transcripts, photographs, graphics, copywriting, slogans, branding, design, layout, software, code, databases, processes, know-how, confidential information and trade secrets.

Dr Tiv, Dr Tiv Academy, PowerUp Residency, UCAFS, Ownership Unlocked, Dental Practice Playbook, Never Make Enemy, NME Questions, RecoveryGPT and any other names, models, phrases, frameworks or brands used by us may be protected by copyright, trade mark, passing off, confidentiality, contract and other laws, whether registered or unregistered.

    2. Limited Personal Licence

Subject to payment and compliance with these Terms, we grant you a limited, personal, revocable, non-exclusive, non-transferable, non-sublicensable licence to access and use the Content solely for your own personal education, professional development and internal implementation in your own practice or business.

This licence does not allow you to copy, share, teach, reproduce, publish, distribute, resell, licence, upload, adapt, translate, create derivative works from, train AI models on, commercialise or make Content available to any other person, business or platform unless we give prior written consent.

    3. No Sharing and No Competitor Use

You must not share Content with colleagues, staff, associates, contractors, consultants, coaches, practices, businesses, competitors, study groups, online communities, social media audiences, AI systems or any other person unless we provide written permission.

You must not use Content to create, support, improve, promote, facilitate or deliver any competing or similar training, education, coaching, consulting, mentoring, CPD, practice management, case acceptance, dental communication, clinical photography, financial literacy, productivity, wellbeing, practice ownership, clinical or business program.

Internal practice implementation is allowed only to the extent that you personally use concepts learned from the program in your own professional work. It does not permit copying, distributing or teaching our materials, slides, templates, frameworks, scripts, prompts, manuals, names, exercises or recordings to staff or third parties.

    4. Confidential Information

Confidential Information includes all non-public information disclosed by us or made available through the Services, including Content, course structures, pricing, business models, financial models, teaching sequences, participant discussions, private community content, presenter discussions, templates, prompts, slides, strategies, recordings, internal methods, operational systems, supplier relationships, commercial information and participant information.

You must keep Confidential Information strictly confidential, use it only for the permitted purpose, protect it with reasonable security measures, and not disclose it to any person without our prior written consent. This obligation continues after your program, membership, access or relationship with us ends.

    5. Watermarking, Traceability and Account-Linked Materials

You acknowledge and agree that Content may contain visible or invisible identifiers, including your name, practice name, business name, email address, phone number, account ID, user ID, order ID, download ID, QR code, serial number, watermark, metadata, steganographic marker, tracking pixel, file fingerprint, access log, IP address, device details, timestamp, session information or other traceable information.

These identifiers may be used to prevent, detect, investigate and enforce against unauthorised copying, sharing, publication, distribution, use, access or misuse of Content. You must not remove, alter, obscure, tamper with, bypass or attempt to disable any identifier, watermark, notice, security feature or access control.

If Content traceable to your account, download, device, email, link or credentials is found in the possession of another person, uploaded online, used by a competitor, incorporated into another program, disclosed in a shared drive, used for AI training, published on social media or otherwise misused, we may treat this as prima facie evidence that the breach arose from your account or your failure to protect the Content, unless you can establish to our reasonable satisfaction or to a court that the disclosure occurred without your knowledge, permission, involvement, negligence or breach of these Terms.

    6. Breach Consequences

Unauthorised copying, disclosure or use of Content may cause serious and difficult-to-quantify harm, including lost enrolments, lost sales, lost clients, loss of income, market substitution, brand dilution, reputational harm, loss of exclusivity, content redevelopment costs, investigation costs, takedown costs and enforcement costs.

If you breach this Part, we may take one or more of the following actions to the maximum extent permitted by law:

    • immediately suspend or terminate your access without refund, except where required by law
    • remove you from programs, communities, events and platforms
    • require immediate deletion, return or destruction of Content and written certification of compliance
    • issue copyright, platform, hosting, search engine, social media, AI platform or payment provider takedown notices
    • notify relevant third parties, including employers, businesses, platforms, professional advisers, insurers, regulators or legal representatives where reasonably necessary and lawful
    • seek urgent injunctions, delivery up, account of profits, damages, additional damages, declarations, equitable relief, discovery, preservation orders and other remedies
    • recover our losses, lost profits, reasonable enforcement costs, legal costs, investigation costs, takedown costs and content remediation costs

    7. Liquidated Damages and Minimum Loss Amount

The parties acknowledge that the loss caused by unauthorised copying, sharing, publication, distribution or commercial misuse of Content is difficult to calculate at the time of contracting. It may include losses that are not limited to the price paid for a course or file.

For each unauthorised disclosure, upload, publication, distribution, sale, licence, competing use, derivative work, AI training use or other material breach of this Part, you agree that, to the maximum extent permitted by law, we may claim from you the greater of:

    • our actual losses, including lost income, lost sales, lost clients, loss of commercial opportunity, investigation costs, legal costs, takedown costs, enforcement costs, brand damage, content redevelopment costs and account of profits; or
    • AUD $25,000 per breach, per recipient, per platform, per publication, per course, per derivative work or per item of Content involved, as a genuine pre-estimate of minimum loss and protection of our legitimate commercial interests, and not as a penalty.

If a court or tribunal considers this amount excessive, unenforceable or a penalty, the amount is to be reduced to the maximum amount that may lawfully be enforced. This clause does not limit our right to seek higher actual damages, injunctions, additional damages for copyright infringement or other relief where available.

    8. Survival

This Part survives cancellation, expiry, refund, removal, completion, termination, account closure and the end of any relationship between you and us.

    Refund Policy

Last updated: 14 September 2026. This Refund Policy applies to purchases from Dr Tiv Academy Pty Ltd. It should be read with our Terms and Conditions and any purchase-specific or program-specific offer terms.

    1. Overview

We want participants to receive genuine value. At the same time, our courses, programs, workshops, events, digital products and resources involve fixed costs, compliance costs, administration, supplier commitments, venue commitments, technology costs, payment processing costs, staff time, preparation and access to intellectual property.

Refunds are available only as set out in this Refund Policy, as stated in a specific written offer, or as required by Australian Consumer Law or other applicable law.

    2. Australian Consumer Law Notice

Nothing in this Refund Policy excludes, restricts or modifies any consumer guarantee, right or remedy that cannot lawfully be excluded, restricted or modified. Where the Australian Consumer Law gives you a right to a refund, repair, replacement, re-supply, cancellation or other remedy, that right applies despite anything else in this policy.

    3. Change of Mind

Unless expressly stated in a program guarantee or required by law, we do not provide refunds for change of mind, failure to attend, inability to attend, scheduling conflicts, personal circumstances, business circumstances, practice pressures, loss of interest, failure to complete, failure to implement, dissatisfaction unrelated to a failure of the Services, or because you found similar information elsewhere.

    4. PowerUp Residency Refund Guarantee

Participants enrolled in the PowerUp Residency may request a refund within 30 days of the program commencement date or before the commencement of Module 3, whichever occurs first, unless the specific offer says otherwise.

To request a refund, you must email powerup@drtiv.com within the eligible period and include your full name, business or practice name, program purchased, purchase date, reason for the request and any supporting details.

Approved refunds under this clause will be calculated as the course fee actually paid by you less non-refundable costs described in this policy, to the maximum extent permitted by law.

    5. UCAFS Workshop First-Day Guarantee

Participants enrolled in the UCAFS Workshop may request a full refund after attending Day 1 if they are not satisfied with the course, provided the request is made at the conclusion of Day 1 and before the commencement of Day 2.

If a refund is approved under this clause, you will not be entitled to attend Day 2 or access any remaining course content, recordings, bonuses, materials, community access or associated resources.

Where your UCAFS place was included, credited, discounted or bundled as part of another program, the linked-program terms in this policy apply.

    6. Digital Products, Memberships, Downloads and Online Resources

Unless required by law or expressly stated otherwise, digital products, online resources, downloads, templates, recordings, videos, memberships, portals, prompt libraries, checklists, workbooks, calculators and other digital content are non-refundable once access has been supplied, login details have been issued, content has been downloaded, content has been viewed or the access period has commenced.

If there is a technical access issue caused by us, you must notify us promptly and allow us a reasonable opportunity to fix the issue, re-supply access or provide an appropriate remedy as required by law.

    7. Non-Refundable Costs and Deductions

To the maximum extent permitted by law, the following amounts are non-refundable and may be deducted from any discretionary, guarantee-based or approved refund unless the law requires otherwise:

    • compliance costs, including CPD administration, enrolment compliance, verification, platform compliance, contract administration and record keeping
    • administration fees, onboarding costs, support time, enrolment processing, account setup and cancellation processing
    • payment processing fees, card fees, merchant fees, Stripe fees, PayPal fees, bank fees, chargeback fees and foreign exchange costs
    • interest, financing costs, payment plan costs, third-party finance charges, credit provider charges and buy-now-pay-later or instalment provider fees
    • venue, catering, presenter, supplier, travel, accommodation, printing, merchandise, workbook, equipment, postage, shipping, handling and third-party costs already incurred or committed
    • value of bonuses, credits, discounts, included courses, transferred places, consumed materials, accessed digital content or services already supplied
    • debt collection, investigation, legal, enforcement, access removal and recovery costs caused by your breach, non-payment, chargeback or misuse
    • the value of any PowerUp Points or Mastery Tokens already redeemed, and of anything obtained by redeeming them

Where a refund is given for a purchase that granted PowerUp Points, any unredeemed Points from that purchase may be reversed. Points remaining after that reversal are not converted to cash. PowerUp Points and Mastery Tokens are otherwise dealt with under clause 7 of the Terms and Conditions.

    8. PowerUp Residency Linked UCAFS Discount

Where a participant receives a 100% discounted, credited or included place in UCAFS as part of enrolment in the PowerUp Residency, and then requests or receives a refund for the Residency, the UCAFS discount or credit is forfeited.

The standard UCAFS course fee, or the value stated in the relevant offer, may be deducted from any refund payable, whether or not the participant attended or completed UCAFS, to the maximum extent permitted by law.

    9. Transfers and Substitutions

We may, at our discretion, allow a transfer to another program date, another product, another participant or a credit note. Any transfer may be subject to availability, eligibility, price differences, administrative fees, supplier costs and updated terms. Transfers are not guaranteed unless confirmed by us in writing.

    10. Chargebacks and Payment Disputes

If you have a concern, you must contact us first so we can attempt to resolve it. If you initiate an unauthorised, incorrect or unjustified chargeback, we may immediately suspend access and contest the chargeback with evidence of enrolment, acceptance of terms, attendance, access, downloads, usage, communications and delivery.

You remain liable for any unpaid amounts, chargeback fees, collection costs and reasonable enforcement costs to the maximum extent permitted by law.

    11. Refund Processing

If a refund is approved, it will usually be processed to the original payment method within 21 business days after approval, although bank, card, finance provider or third-party processing times may vary. Refunds to a different payment method are at our discretion and may require identity verification.

    12. Access After Refund

If a refund, credit, chargeback or cancellation occurs, we may remove access to all related course content, recordings, downloads, bonuses, communities, events, certificates, support, materials and resources. You must delete and stop using any downloaded materials unless we confirm otherwise in writing or unless the law requires otherwise.
